History

Algodon Group is a Delaware corporation originally formed in April 1999 under the name InvestPrivate.com, Inc. The Company later changed its name to Diversified Private Equity Corp. in order to reflect its evolution from an Internet-based brokerage firm into a retail brokerage firm focusing on the marketing of private offerings and a developer of international real estate projects. Continuing its growth and evolution, the Company has transitioned from a diversified private equity platform to a wine brand and a luxury real estate development company under the “Algodon” brand, and is now more widely recognized as “Algodon,” hence the Company’s new name, “Algodon Wines & Luxury Development Group, Inc.” or Algodon Group. “Algodon,” which has received a significant amount of international press for its luxury hotel properties, wines and real estate development, is the name that most of the Company’s investors and customers are familiar with, and is likely the identity under which the Company will receive press in the years ahead.

From the Company’s inception, its goal has consistently been to provide entrepreneurial and institutional investment opportunities to qualified or accredited investors to whom such opportunities historically were unavailable. Under current SEC regulations, there are millions of investors in the United States who can participate in the private equity products that Algodon Group offers, and we believe that the investment products Algodon Group structures will be attractive to many qualified investors.

Through its wholly-owned subsidiaries, Algodon Group currently invests in, develops and operates international real estate projects. Its wholly-owned subsidiary, DPEC Capital, is a traditional retail securities brokerage firm which offers various non-public investment opportunities to qualified investors. Since approximately 2004, DPEC Capital has concentrated its efforts on raising money for investment vehicles that were formed by its corporate affiliates, many of which were in the biotech sector, for corporate affiliates that were raising capital to invest in the various projects being developed in Argentina, or for other operating businesses under common control with Algodon Group.
